IR Holding Releases Supplement to Offer Document Amidst IRRAS’ Financial Updates

IR Holding Bidco Inc. (IR Holding) has issued a vital supplement to its previously published offer document for a public bid directed towards the shareholders of IRRAS AB (IRRAS). This announcement comes on the heels of IRRAS’ recent financial situation update on August 24, 2023, coupled with an additional statement from IRRAS’ independent bid committee.

IR Holding, the entity behind the public offer (the “Offer”) disclosed on July 6, 2023, has taken this strategic step to address the evolving landscape of the deal. The supplement to the original Offer Document, aptly named the “Supplement,” has been meticulously crafted to encompass IRRAS’ financial update and the supplementary declaration from IRRAS’ independent bid committee.

The pivotal event took shape on August 25, 2023, when the Swedish Financial Supervisory Authority formally approved and registered the Supplement. This regulatory endorsement further underscores the gravity of the situation and emphasizes the significance of the newly appended information. The Supplement, by extension, becomes an integral component of the broader Offer Document that was initially unveiled on July 6, 2023.
