Pambili Natural Resources Corporation, a rising player in the African gold mining sector, has announced the appointment of Mr. Russel Swarts as Interim Chief Financial Officer (CFO), effective 01 August 2024. This strategic appointment comes in response to regulatory pressures from the TSX Venture Exchange, which recently alerted Pambili of its non-compliance with Exchange Policy 3.1, specifically the prohibition of dual leadership roles wherein an individual serves concurrently as both Chief Executive Officer (CEO) and CFO.
The Exchange’s notice, received on 6 August 2024, underscores the critical importance of maintaining distinct corporate governance structures, particularly for publicly listed companies. Since 29 August 2022, Mr. Jon Harris, Pambili’s CEO, had been shouldering the responsibilities of both CEO and interim CFO, a situation that contravenes the Exchange’s mandate. Pambili has been granted a grace period until 7 November 2024 to rectify this breach, with the potential consequence of a trading halt if the issue remains unaddressed.
Pambili, undeterred by the regulatory admonition, has been actively engaged in dialogue with several potential CFO candidates in recent months. The company’s recent acquisition of the Golden Valley mine in Zimbabwe has notably increased its appeal, attracting considerable attention within the investment community. Mr. Swarts, with his extensive expertise in African natural resources and a proven track record across international markets, emerged as the preferred candidate, ultimately accepting the role.
A financial veteran with over three decades of experience, Mr. Swarts has held several senior-level positions within the mining and exploration sectors, particularly in southern Africa and beyond. His professional journey includes significant tenures with publicly listed companies in both London and Toronto, and he is presently a non-executive director at Helium One Global Ltd. Academically distinguished, Mr. Swarts holds a Bachelor of Accounting Science degree with honours from the University of South Africa and is a Chartered Accountant (South Africa) by profession.
